1. PURPOSE
The purpose of this Agreement is to define the terms under which Consultare Inc. Group provides the Client with access to its SQF Compliance Management System Software – Standard 298 Plan (With Templates) (“Software”).
The Standard 298 Plan is licensed to a single Base User and includes access to SQF-aligned templates, eForms, and structured documentation tools intended to support implementation, maintenance, and audit readiness aligned with the Safe Quality Food (SQF) Code.
Additional users may be added under separate per-user licenses; however, template access, ownership, and administrative control remain associated with the Base User license, unless otherwise agreed to in writing.
The Software does not provide certification, auditing, regulatory consulting, or SQF Practitioner services unless expressly agreed to in a separate written agreement.
Use of the Software does not transfer regulatory, legal, or certification responsibility from the Client to the Software Provider.
2. LICENSE GRANT
Subject to the terms of this Agreement and payment of applicable fees, Consultare Inc. Group grants the Client a limited, non-exclusive, non-transferable, revocable license to access and use the Software during the active subscription term.
2.1 Base User License
The Base User is the primary licensed user under the Standard 298 Plan and is granted:
● Full access to all included SQF-aligned templates
● Administrative control over template customization and approval
● System configuration and document control privileges
2.2 Additional User Licenses
Additional users:
● Are licensed separately
● May access documents and records shared by the Base User
● Do not receive independent template licenses unless explicitly stated
Licenses may not be shared, concurrently reassigned, or pooled.
No ownership rights in the Software, templates, system architecture, workflows, or intellectual property are transferred.
3. STANDARD 298 SOFTWARE SCOPE (BASE USER – WITH TEMPLATES)
The Standard 298 Plan includes expanded platform functionality for the Base User, including all applicable SQF-aligned templates and eForms.

● Centralized compliance document and record management
● Structured document categorization and hierarchy
● Document version control, approval workflows, and review cycles
● Automated reminders for review, expiration, and renewal
● Corrective and preventive action (CAPA) tracking
● Audit-ready document organization and retrieval
● Electronic data capture via eForms
Included Templates & Toolkits (Base User Only)
The Base User license includes all applicable SQF-aligned templates, including but not limited to:
● Programs
● Policies
● Procedures (SOPs)
● Forms for Records
● Training Materials
● Work Instructions
● Job Descriptions
These templates address SQF compliance documentation requirements and may cover areas such as:
● Food Safety Management Systems
● HACCP / Food Safety Plans
● Supplier approval and verification
● Internal audits
● Corrective and Preventive Actions (CAPA)
● Management review
● Training and competency
● Traceability and recall
● Food defense and food fraud
Templates are provided as guidance tools only and must be reviewed, customized, approved, and implemented by the Client prior to use.
The Software Provider does not certify compliance or guarantee audit outcomes.
4. SYSTEM MODULES
4.1 Compliance Management System Module
Document control, approvals, CAPA tracking, and audit evidence management.
4.2 Enterprise Requirements Management Module
Enterprise-wide governance, internal controls, and management review tracking.
4.3 Supplier Requirements Management Module (UNLIMITED – ACCOUNT LEVEL)
Unlimited supplier profiles, certifications, audits, corrective actions, and declarations.
Included at no additional cost under the Standard 298 Plan.
4.4 HR / Training Requirements Management Module
Training assignments, attendance records, competency documentation, and audit evidence.
Pricing:
● USD $5 per employee, per month
● Minimum enrollment: Five (5) employees
The Software does not validate training effectiveness or regulatory adequacy.
4.5 Customer Requirements Management Module
Customer specifications, audits, and contractual compliance tracking.
4.6 Product Requirements Management Module
Product specifications, HACCP plans, COAs, testing, labeling, traceability, and recall records.
5. SQF CODE & COMPLIANCE FRAMEWORK SUPPORT
The Software supports structured organization and tracking of SQF Code elements and selected regulatory or certification frameworks.
The Software does not certify compliance or guarantee audit outcomes.
6. SYSTEM FUNCTION CLARIFICATION
The Software organizes and tracks compliance documentation and evidence but does not:
● Perform audits
● Approve suppliers, products, customers, or training programs
● Replace SQF Practitioner accountability
● Certify SQF or regulatory compliance
All compliance decisions remain the responsibility of the Client.
7. eFORMS & CUSTOMIZATION
● Standard eForms: Included with Base User license
● Customized eForms: Available under separate Scope of Work (SOW)
8. ADDITIONAL REGULATORY / CERTIFICATION REQUIREMENTS (OPTIONAL)
● USD $50 per month (account-level)
Provides organizational tracking only.
9. SOFTWARE FEES & LICENSING STRUCTURE
● Standard 298 Base User License (with Templates): USD $298 / month
● Additional User Licenses: USD $125 / user / month
● Supplier Module: Included – Unlimited
● HR / Training Module: USD $5 / employee / month (minimum 5)
● Additional Regulatory / Certification: USD $50 / month
All fees are prepaid, subscription-based, and non-refundable unless otherwise agreed in writing.
10. DATA OWNERSHIP & LIABILITY
Client data remains the property of the Client.
Templates, Software, and intellectual property remain the property of Consultare Inc. Group.
Client agrees to indemnify Consultare Inc. Group from claims arising from misuse, inaccurate data, or regulatory non-compliance, except in cases of willful misconduct.
11. CONFIDENTIALITY, TERM & GOVERNING LAW
● Confidentiality maintained except as required by law
● Term and termination defined in Appendix A
● Governed by the laws of the State of Texas, USA
12. ENTIRE AGREEMENT & SIGNATURES
This Agreement and Appendix A constitute the entire agreement between the parties.
